Many settlement agreements contain clauses that increase the balance owed if a breach occurs. However, those liquidated damages clauses may not be enforceable under California law. This seminar describes the clauses in an agreement that may be unenforceable penalty clauses, existing caselaw, the drafting of settlement agreements that address enforcement of liquidated damages clauses and will be of benefit to both litigators and transactional attorneys of all practice levels.
