Protecting the Crown Jewels: IP Insurance and Indemnity Agreements
Insurance and indemnity agreements can protect valuable intellectual property assets, mitigate risk, and add significant value to a company. In this seminar, the panelists will provide an overview of insurance and indemnity issues relevant to IP assets, including:
Assessing insurance policies and claims history during M&A due diligence
Delineating coverage for subsidiaries and corporate executives
Extracting greater value through choice of law and other provisions affecting multi-jurisdictional businesses or acquisitions
Obtaining insurance coverage for IP claims
Drafting effective indemnity agreements
Tom Allen - Speaker
Tom Allen is the FINPRO E&O Practice Leader for the Marsh & McLennan's San Francisco office. As a Client Advisor, he is responsible for identifying professional liability, intellectual property, media, and cyberliability exposures for Marsh clients and providing Errors and Omissions liability programs that address them. Tom specializes in providing solutions for clients in the technology industry, with an emphasis on software, e-commerce, consulting, content/media services, telecommunications, and networking spaces. Tom earned a JD from Brooklyn Law School and a BA in History from Brandeis University.
Randy M. Hess - Speaker
Randy M. Hess is a shareholder with Adleson, Hess & Kelly, PC in Campbell, where his practice focuses on representing policyholders in insurance coverage and bad faith disputes. His clients include Fortune 100 companies, governmental entities, individuals and nonprofits. Mr. Hess has successfully represented insured in both California state and federal trial courts and courts of appeal, including the California Supreme Court and the Ninth Circuit. He has also been retained as an expert by insurers, law firms, and policyholders on coverage issues and professional liability matters. Mr. Hess has written articles on insurance coverage for numerous publications. He is also a contributing author to CEB's California Automobile Insurance Law Guide and to How Insurance Companies Settle Cases (James & Co.), and he has written articles for, and been featured in, the Daily Journal and Recorder legal newspapers. He has lectured on new developments in insurance issues and has provided continuing education to defense counsel, employment and technology law firms, lenders, mortgage brokers, technology companies, corporate counsel, insurance agents and brokers, and attorneys. Mr. Hess is a member of the Santa Clara County Bar Association Insurance Committee and previously served as its chair. He recently obtained for his clients one of the highest punitive damage awards in a bad faith action against an insurer in San Mateo County Superior Court history. He has been selected for numerous years as one of Silicon Valley's Best Lawyers by San Jose Magazine and as one of Northern California's "Super Lawyers" in insurance by San Francisco Magazine, and is also currently listed in "Best Lawyers in America" for insurance coverage. Mr. Hess received his J.D. in 1979 from the University of Santa Clara School of Law and is admitted to practice before all state and federal courts in California and before the U.S. Supreme Court.
Suchitra V. Narayen - Speaker
Suchitra Narayen is a Senior Legal Director with the Global Sales and Services legal group of Sun Microsystems, Inc. She joined Sun in 1999, initially supporting a number of product groups with respect to inbound licensing and product release issues. In her current role, Ms. Narayen oversees outbound sales, services and licensing transactions, and general governance matters for the Emerging Markets region, which includes Mexico, Central and South America, Africa, the Middle East, Eastern Europe, India, China, Hong Kong and Taiwan. In addition to her legal role, she is a Certified Sigma Black Belt and the Master Black Belt for the Sun Legal and Compliance Department. She has also pioneered the use of offshore legal services to enhance productivity and improve cost effectiveness. Ms. Narayen is a Gold Medalist who received her LL.B from the University of Calgary and is admitted to practice in Alberta, Canada and California. Prior to joining Sun, she was a senior litigation associate at Pettit & Martin and Coudert Brothers and the Managing Litigation Attorney at Acer America, where she handled complex M&A/restructuring matters in addition to IP, employment and commercial litigation.
